Terms & Conditions
1. Definitions
“Six Lines” means Six Lines Marketing Ltd of Milton Keynes UK. “Client” means the person or entity engaging Six Lines’ services. “Services” means the marketing consultancy, workshops and related support provided by Six Lines.
2. Scope of Services
Six Lines will deliver the Services as set out in the relevant proposal or statement of work. Any additional work must be agreed in writing.
3. Fees and Expenses
All fees are as quoted in the proposal. Fees exclude value added tax which will be added at the UK rate. The Client will reimburse any reasonable travel or other out of pocket expenses agreed in advance.
4. Payment Terms
Six Lines will issue invoices in arrears or as otherwise agreed. Invoices are payable within 30 days of the invoice date. Late payment may incur interest at two per cent above the Bank of England base rate per month until paid in full.
5. Client Obligations
The Client will supply all information, access and cooperation reasonably required to enable Six Lines to perform the Services. Delays in supplying such materials may affect delivery schedules.
6. Confidentiality
Each party will keep confidential all non-public information received from the other party and use it only to fulfil its obligations under these terms. This obligation continues for two years after termination.
7. Intellectual Property
Six Lines retains ownership of its pre-existing materials and methodologies. On receipt of full payment the Client obtains a licence to use deliverables provided as part of the Services for its internal business purposes.
8. Limitation of Liability
Six Lines’ total liability under or in connection with these terms will not exceed the total fees paid by the Client in the six months preceding the claim. Neither party will be liable for indirect or consequential loss.
9. Termination
Either party may terminate for material breach if the other party fails to remedy that breach within 14 days of written notice. On termination the Client pays all fees due for Services delivered up to the termination date.
10. Governing Law
These terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the English courts.
